Failure to Act: My Battle Against Board President’s Code of Conduct Violation – Part 1

TL;DR

In our New Contributor Announcement post, we mentioned that Greg Simpson “postponed his involvement to focus on the concerns he raised with our Board about our Board President violating the Board’s Code of Conduct. Despite his many efforts to prompt the Board to address the issue, it remains unresolved. Having exhausted all avenues within the Board, Greg believes it’s time to elevate this and other discussions to a broader audience.”

This is a recap of his first failed attempt to get Ms. Wertheim and The Board to act. He was unsuccessful in having Ms. Wertheim step down as Board President and having her recuse herself from all 4N litigation matters. Ms Wertheim never responded and The Board refused to answer his questions and merely stated that “Lynda Werthheim has the full support of the Eastmore Board of Directors.” They provided the same response twice. The first response was sent via bike messenger at an unknown costs (was that a good use of shareholder funds?) and shortly after that a second identical response was sent via USPS Certified Mail at $8.53 (again, was this a good use of shareholder funds?).
